Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”) and MeetRaya, a service of DemandHub Inc. (“Company”). By accessing the Service, you agree to these Terms. If you do not agree, you must immediately cease use of the Service.
SCOPE OF SERVICE & "AGENTIC" NATURE
MeetRaya provides an AI-powered "Agentic" platform. Unlike traditional software, MeetRaya AI Agents plan and execute tasks autonomously based on Customer instructions.
Accuracy & Probabilistic Output: You acknowledge that AI is probabilistic. Output may occasionally be inaccurate, incomplete, or biased.
Human-in-the-Loop: Customer is responsible for configuring "guardrails" and reviewing Output before it is communicated to end-users or relied upon for critical business decisions.
DATA OWNERSHIP & THE "NON-TRAINING" PLEDGE
Inputs & Outputs: As between the parties, Customer owns all Inputs (data/documents uploaded to train the agent) and all Outputs (content generated by the agent).
The Pledge: MeetRaya shall not use Customer Data or Inputs to train, fine-tune, or improve our foundational global machine learning models. Your data is isolated to your specific instance via Retrieval-Augmented Generation (RAG).
Model Rights: MeetRaya retains ownership of the underlying algorithms, software, and proprietary model architectures used to provide the Service.
HEALTHCARE & HIPAA COMPLIANCE
MeetRaya is a product of DemandHub Inc. For Customers who are "Covered Entities" or "Business Associates" under HIPAA:
BAA: Your use of the Service is governed by the DemandHub Business Associate Agreement (BAA).
Clinical Disclaimer: MeetRaya is an administrative tool. It is prohibited for use in clinical triage, definitive medical diagnosis, or providing emergency medical advice.
ACCEPTABLE USE & RESTRICTIONS
Customer shall not use the Service to:
Deceive: Misrepresent that AI-generated content is human-written in a way that is intended to deceive.
High-Risk Use: Use the agent for high-stakes autonomous actions (e.g., credit scoring, employment decisions, or emergency dispatch).
Reverse Engineer: Attempt to "jailbreak" the AI or extract the underlying model weights and prompts.
Regulated Industries: Provide licensed professional advice (Legal, Financial, Medical).
FEES, SUBSCRIPTIONS, & USAGE LIMITS
Credits: Fees are based on "Message Credits" or "Tokens." Unused credits do not roll over unless specified in your Order Form.
Throttling: MeetRaya reserves the right to throttle or suspend Service if usage is deemed abusive or poses a threat to platform stability.
INDEMNIFICATION & LIABILITY
Customer Indemnity: Customer shall indemnify MeetRaya against third-party claims arising from (a) Customer Inputs that infringe IP rights, or (b) Customer’s failure to oversee the AI’s autonomous actions.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE EXPRESSLY DISCLAIM ALL WARRANTIES REGARDING THE ACCURACY OF AI OUTPUT.
MISCELLANEOUS
Governing Law: These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
Modifications: MeetRaya may update these Terms at any time. Continued use after an update constitutes acceptance.
